This Agreement is entered into as of April 23, 2026, by and between BluPrntEra LLC (the "Company") and Daniel Noh (the "Partner").

Section 01

Purpose of Partnership

The Partner agrees to act as a strategic collaborator and broker, leveraging their professional network and direct efforts to facilitate business deals and secure sponsorships (collectively, "Deals") for the Company.

Section 02

Compensation & Profit Sharing

Net Profit Share
The Partner shall receive 30% of the net profit generated from each Deal directly brokered or originated by the Partner.
Perpetual Commission
The Partner shall receive a 10% perpetual commission on all recurring revenue or tail-end payments generated from Deals brokered by the Partner for the life of that specific business relationship.
Sponsorships
Any corporate or individual sponsors secured through the Partner's direct contacts or involvement will be subject to the same 30% profit / 10% perpetual structure.

Section 03

Scope of Effort & Exclusions

Direct Effort Requirement
Compensation is only due for Deals that are a direct result of the Partner's specific contacts, leads, or documented efforts.
Excluded Relationships
Any deals, partnerships, or sponsorships originated through the Company's existing personal relationships, internal marketing, or "White Glove" service leads are strictly excluded from this Agreement.
Non-Involvement
Deals falling outside the scope of the Partner's contacts or direct involvement do not qualify for any commission or profit share.

Section 04

Payments & Financial Transparency

Timeline
All payments shall be disbursed to the Partner within 15 business days of the Company's receipt of cleared funds.
Transparent Breakdown
The Company shall provide a detailed accounting for each Deal to justify the "Net Profit" calculation. This breakdown will explicitly include all applicable overhead and project-specific costs, such as staffing expenses and Google Ads spend, as examples of deductions taken before the 30% profit share is applied.

Section 05

Survival of Terms

The 10% perpetual commission clause shall survive the termination of this Agreement for any and all Deals successfully closed during the term of this partnership.
