Principle of the Day

This Marketing Services & Exclusivity Agreement ("Agreement") is entered into as of June 30, 2026, by and between:

• Client: Derrick Palacios, creator and owner of Principle of the Day ("Client" or "Project");

• Agency: Blu Prnt Era LLC, a marketing and media services company, represented by Ricky Rodriguez ("Agency").

The Agency agrees to perform one (1) startup promotional campaign for the Principle of the Day YouTube channel, entirely free of charge. The objective of this initial campaign is to drive between 100,000 and 250,000 views on a designated video, thereby generating visibility and momentum sufficient to attract interest from major distribution and media companies.

This complimentary promotion constitutes the Agency's sole financial obligation under the terms of this Agreement. Any campaigns, promotions, or services rendered beyond this initial effort shall be subject to separate written agreements and mutually agreed-upon compensation.

Upon execution of this Agreement, Blu Prnt Era LLC shall serve as the sole and exclusive marketing agency for the Principle of the Day project. The Client agrees not to engage, retain, or authorize any other marketing agency, media buying service, or promotional entity to perform services on behalf of the Principle of the Day brand without the prior written consent of the Agency.

This exclusivity shall remain in effect for the duration of this Agreement unless renegotiated pursuant to Section 6.

In the event that the Agency's promotional efforts directly result in the Client securing a distribution, licensing, or monetization deal with a major company — including but not limited to Netflix, Tubi, Amazon, Hulu, or any comparable major distribution or media platform — the Client agrees to compensate the Agency five percent (5%) of the total net value of such deal.

For clarity, this revenue share applies exclusively to deals that are a direct result of the Agency's YouTube campaign and promotional efforts under this Agreement. The Client is not obligated to share revenue from sponsorships, brand deals, or agreements that the Client independently sources and secures outside of the direct influence of the Agency's campaign activities.

• The Agency shall execute the promotional campaign in good faith using its established methodologies and platform relationships.

• View projections of 100,000–250,000 represent a performance target and are not a guaranteed outcome.

• The Client shall provide all necessary creative assets, channel access, and approvals required for the Agency to carry out promotional activities.

• Both parties agree to communicate promptly and in good faith throughout the duration of this engagement.

Either party may request a formal renegotiation of the terms of this Agreement at any time, provided that the request is submitted in writing. Any renegotiation shall require the mutual written consent of both parties and shall not alter the terms of this Agreement unless a new signed amendment is executed by both parties.

This Agreement shall commence on the Effective Date and shall remain in effect until either party submits a written notice of termination with a minimum of thirty (30) days' advance notice, or until a mutual renegotiation supersedes these terms.

Termination of this Agreement shall not relieve either party of any obligations that arose prior to the effective date of termination, including any outstanding revenue share obligations under Section 4.

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located within the State of New York, and both parties hereby consent to the personal jurisdiction of such courts.

This Agreement constitutes the entire understanding between the parties with respect to the subject matter herein and supersedes all prior discussions, understandings, or representations. This Agreement may not be modified except by a written instrument signed by both parties.
